Cognix makes no representations or warranties regarding the health benefits of any products. 4. ORDERS AND PAYMENT
4.1 Order Acceptance
Your receipt of an order confirmation does not constitute acceptance of your order. Cognix reserves the right to accept or decline your order for any reason, including but not limited to product availability, errors in product or pricing information, or problems identified by our fraud detection systems.
4.2 Payment Terms
By providing a payment method, you represent and warrant that you are authorized to use the designated payment method and that you authorize us to charge your payment method for the total amount of your order (including any applicable taxes and shipping charges).
4.3 Pricing and Tax
All prices displayed on our Services are in the designated currency and include UK VAT where applicable. Prices do not include shipping costs (which will be calculated and displayed before you complete your purchase) or customs fees. For international orders, you are solely responsible for any customs fees, import duties, taxes, or other charges that may be imposed by customs or relevant authorities in your country. Cognix does not calculate these fees and they are not included in the order total at checkout.
5. SHIPPING AND DELIVERY
5.1 Shipping Methods and Timeframes
Cognix will use commercially reasonable efforts to ship products within the timeframe specified at checkout. However, shipping times are estimates only and are not guaranteed. Cognix is not liable for any delays in shipment or delivery.
5.2 Risk of Loss
Risk of loss and title for products purchased from Cognix pass to you upon delivery of the products to the carrier.
6. RETURNS AND REFUNDS
Our Return Policy, which is incorporated by reference into these Terms, governs all returns and refunds. Please refer to our Return Policy for complete details.
IMPORTANT NOTE: No Cognix products can be returned once opened. Due to the nature of consumable supplements and for hygienic reasons, we cannot accept returns on any products where the seal has been broken or the packaging has been opened, with the sole exception of products covered under our one-time risk-free guarantee.
7. INTELLECTUAL PROPERTY RIGHTS
7.1 Ownership
All content included on our Services, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Cognix or its content suppliers and is protected by United Kingdom and international copyright, trademark, and other intellectual property laws.
The Cognix logo is a registered trademark in the United Kingdom and cannot be used, reproduced, or displayed in any form without prior written authorization from Cognix Sciences LTD. Unauthorized use of the Cognix logo may constitute trademark infringement and unfair competition in violation of UK and international laws.
7.2 Limited License
Cognix grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for personal, non-commercial purposes. This license does not include any resale or commercial use of our Services or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of our Services or their contents; or any use of data mining, robots, or similar data gathering and extraction tools.

COGNIX SPECIFICALLY DISCLAIMS ALL WARRANTIES REGARDING:

- THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED
- THE ERROR-FREE OR UNINTERRUPTED OPERATION OF THE SERVICES
- THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED THROUGH THE SERVICES
10. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COGNIX, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- ANY DAMAGE, INJURY, OR DEATH RESULTING FROM THE USE OR MISUSE OF ANY PRODUCTS
- ANY ALLERGIC REACTIONS, SIDE EFFECTS, OR OTHER ADVERSE EVENTS RELATED TO THE USE OF ANY PRODUCTS
- ANY DAMAGE FOR PERSONAL OR BODILY INJURY
- ANY DAMAGES IN EXCESS OF THE AMOUNT PAID BY YOU FOR THE PRODUCTS OR SERVICES THAT ALLEGEDLY CAUSED SUCH DAMAGE
THESE LIMITATIONS WILL APPLY WHETHER SUCH DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER COGNIX HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Cognix, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

Our Services may contain links to third-party websites or services that are not owned or controlled by Cognix. Cognix has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Cognix shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
13. CHANGES TO TERMS OF SERVICE
Cognix reserves the right, at its sole discretion, to modify or replace these Terms at any time. The most current version of these Terms will be posted on our website. You are responsible for reviewing and becoming familiar with any such modifications. Your continued use of the Services following the posting of any changes constitutes acceptance of those changes.
14. TERMINATION
Cognix may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of England and Wales, and you consent to the personal jurisdiction of such courts.

18. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and Return Policy, constitute the entire agreement between you and Cognix regarding your use of the Services and supersede all prior agreements and understandings, whether written or oral.
